Agreement & Scope of Services
These Terms of Service ("Terms") constitute a legally binding agreement between the commissioning entity or client ("Client", "you") and Super Major Private Limited (operating commercially under the brand name "SuperMajor" or "Super Major", and referred to as "we", "us", or "our"), a registered creative visual engineering and CGI animation production studio incorporated under the Companies Act, 2013 with its registered office in Chennai, Tamil Nadu, India.
SuperMajor provides specialized creative visual engineering and production services across five unified disciplines:
- 3D Product Visualization & CGI: Photorealistic high-resolution imagery engineered from CAD models for launch campaigns, print, and e-commerce.
- Technical Animation & CGI Films: Cinematic product films, mechanical teardowns, exploded views, and cinematic motion design.
- Real-Time 3D & WebGL Development: High-performance interactive 3D configurators, canvas experiences, and real-time product showcases.
- Augmented Reality (AR): Scaled, photoreal WebAR (iOS Quick Look, Android Scene Viewer) and interactive spatial assets.
- Digital Platforms: Bespoke high-craft websites engineered specifically around visual product pipelines.
Estimates & Statements of Work
All commissioned projects are governed by an official written Estimate, Proposal, or Statement of Work ("SOW") executed by an authorized representative of each party. The SOW details:
Specific resolutions (e.g. 4K, 8K), camera counts, runtime durations, aspect ratios, and delivery codecs.
Milestone checkpoints, review windows, and targeted delivery dates.
Project fee, milestone billing schedule, applicable taxes, and payment windows.
Custom non-disclosure requirements, confidentiality riders, or licensing buyouts.
Client CAD & Material Provision
To execute engineering-accurate visuals, the Client agrees to provide accurate CAD files (STEP, IGES, SolidWorks, Rhino, etc.), CMF (Color, Material, Finish) specifications, brand guidelines, and packaging dielines in accordance with the project schedule.
Client Warranties: The Client represents and warrants that it owns or possesses all necessary intellectual property rights, licenses, patents, and authorizations for all files, designs, and brand trademarks provided to SuperMajor.
The Client indemnifies SuperMajor against any third-party claims alleging infringement arising from client-supplied CAD, logos, or design blueprints.
Intellectual Property & Licensing
We operate under an unequivocal, transparent intellectual property framework:
A. Pre-Existing Client Intellectual Property
The Client retains sole and absolute ownership of all pre-existing intellectual property, product designs, CAD geometry, engineering tolerances, patents, trademarks, and trade secrets provided to SuperMajor. Commissioning our pipeline transfers zero ownership of your product to SuperMajor.
B. Final Render Deliverables & Licensing
Upon receipt of full and final payment under the applicable SOW, SuperMajor grants to the Client an irrevocable, exclusive, worldwide, perpetual license (or full copyright assignment where expressly stipulated in the SOW) to use, reproduce, broadcast, display, and publish the final delivered render images, animations, video masters, and interactive WebGL assets across all media.
C. Studio Working Files & Internal Pipeline IP
SuperMajor retains full ownership of its underlying procedural animation setups, lighting rig presets, material node graphs, camera rigs, and pipeline automation tools. Delivery of native working scene files requires an explicit written buyout agreement with agreed studio licensing fees.
Review Phases & Approval Gates
To guarantee precision and maintain schedule fidelity, our studio pipeline enforces structured stage-gate approvals:
Milestone Deliverables will be deemed accepted if the Client does not submit written feedback or request specific revisions within 5 business days of delivery.
This mechanism prevents render farm idling and resource gridlock during active production sprints.
Each stage includes standard minor revisions as outlined in the SOW. Changes requested to previously approved stages (e.g., modifying camera motion after look development rendering is initiated) constitute an out-of-scope modification and will be billed at standard studio hourly rates with an updated schedule.
Portfolio & Publicity Rights
SuperMajor is a showcase-driven creative studio. We reserve the professional right to display completed visual deliverables in our studio portfolio, showreels, website case studies, and creative awards.
SuperMajor will not publicly showcase client visuals or case studies until the client has publicly launched the underlying product or campaign, or after 90 days following final deliverable handover, whichever occurs first.
This safeguard ensures that unannounced industrial prototypes, patent applications, and confidential hardware reveals remain fully protected prior to formal commercial launch.
Fees, Payments & Invoicing
Standard commercial payment terms:
- Milestone Payments: Unless otherwise stated in the SOW, standard project billing consists of an advance deposit (typically 40%โ50%) upon project initiation, intermediate progress milestones (where applicable), and final balance upon master approval.
- Currency & Taxes: Invoices are billed in INR (for Indian clients) or USD/EUR/GBP (for international clients). Indian Goods & Services Tax (GST) is levied at the statutory rate of 18% where applicable.
- Payment Window: Standard payment term is Net 15 days from invoice issuance date. High-resolution master assets and unwatermarked deliverables are released upon settlement of the corresponding milestone invoice.
- Late Interest: Uncontested invoices overdue beyond 30 days are subject to late interest of 1.5% per month or the maximum permissible by Indian law.
In the event an invoice remains unpaid past its due date, SuperMajor reserves the right to suspend active rendering pipelines, pause milestone deliverables, and withhold project assets until all outstanding amounts are resolved.
Dedicated compute clusters and workstation allocations will be reallocated during suspensions, and project timelines will extend accordingly.
Confidentiality & Non-Disclosure
Both parties agree to treat all commercial, financial, technical, CAD, and operational information as strictly confidential. SuperMajor agrees:
- To hold client files in strict confidence and exercise at least reasonable standard of care in safeguarding confidential geometry.
- To disclose confidential assets solely to studio personnel who require access to perform the contracted visual services.
- Never to disclose, leak, or utilize client assets for any purpose outside the contracted engagement.
Warranties & Liability Limits
SuperMajor warrants that visual services will be performed in a professional, workmanlike manner conforming to prevailing industry visual standards.
Limitation of Liability: To the maximum extent permitted under applicable law, SuperMajor's aggregate total liability arising out of or related to any project engagement, whether in contract, tort (including negligence), or otherwise, shall be strictly capped at the total fees actually paid by the Client to SuperMajor under the specific Statement of Work giving rise to liability.
In no event will SuperMajor be liable for any indirect, incidental, punitive, or consequential damages (including loss of profits, commercial launch delays, or manufacturing interruption).
Termination & Cancellation Fee
Either party may terminate an engagement immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 14 calendar days of receipt of written notice.
In the event of client cancellation without cause during active production, the client shall pay for all work completed to date plus a cancellation fee equal to 20% of the remaining contracted milestone value to cover committed pipeline capacity.
Advance deposits are non-refundable to the extent studio render time, staffing allocations, or specialized software compute has commenced.
Governing Law & Dispute Resolution
These Terms and any project Statements of Work shall be governed by, interpreted, and construed in accordance with the substantive laws of the Republic of India, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or project engagements shall be resolved through final and binding arbitration under the Arbitration and Conciliation Act, 1996.
The seat, venue, and place of arbitration shall be Chennai, Tamil Nadu, India, and proceedings shall be conducted in the English language.
Subject to arbitration, both parties submit to the exclusive jurisdiction of the competent commercial courts located in Chennai, Tamil Nadu, India.
